Effective Date: 01.12.2025
This Vendor Agreement (“Agreement”) is a legally binding contract between 3DVehicleHub.com (“Marketplace”, “We”, “Us”, “Our”) and you (“Vendor”, “You”, “Your”), governing your participation as a seller on the platform. By creating a vendor account, uploading products, or receiving payments, You acknowledge that You have read, understood, and agree to be bound by this Agreement.
1. Eligibility Requirements
To become a Vendor, You must:
- Be at least 18 years old
- Provide accurate personal/organizational information
- Maintain a verified payment account (Stripe or PayPal)
- Have rights and ownership to all uploaded content
We may request identity, business, or tax verification and may suspend your account until verification is complete.
2. Ownership & Intellectual Property
You represent and warrant that:
- You are the full legal owner of all uploaded assets, OR you possess explicit commercial usage rights
- Your content does not infringe any copyright, trademark, or intellectual property rights
- Your content is not AI-generated using copyrighted training material without a valid commercial license
- You grant the Marketplace a worldwide, non-exclusive license to display, distribute, and sell your products
Violation of IP rules may result in:
- Immediate account termination
- Removal of all products
- Financial liability, including legal fees and damages
3. Product Requirements
All products must:
- Be original, high-quality, functional, and accurately described
- Include preview images and detailed specifications
- Not contain viruses, trojans, malicious code, or hidden watermarks
We reserve the right to:
- Modify or correct descriptions
- Remove rejected or low-quality items
- Limit product categories and pricing
4. Pricing & Commissions
- Vendors may set their own prices unless restricted by category minimums
- Marketplace earns a commission on each sale
- Commission rate: 20% (subject to change with 30-day notice)
We may issue refunds without Vendor approval when required (see Refund Policy).
5. Refunds, Disputes & Chargebacks
Vendor agrees to comply with the Refund Responsibilities Policy. Refunds may be issued if:
- Product is defective, misrepresented, or incomplete
- Vendor fails to provide support within 3 business days
- Customer successfully proves eligibility
Excessive disputes (>1%) may result in:
- Reduced payment priority
- Temporary suspension
- Permanent removal
Chargeback fees may be deducted from Vendor payout.
6. Payments & Taxes
- Payouts are processed to the Vendor’s selected payment method
- Vendor is responsible for reporting and paying all applicable taxes
- Marketplace may withhold payouts when disputes or legal claims are pending
Unclaimed earnings after 12 months may be forfeited.
7. Prohibited Content
The following are strictly prohibited:
- Stolen or pirated content
- Replicas of OEM manufacturer parts violating design patents
- Re-uploading free or publicly available models
- Pornographic, hateful, or illegal content
- Reverse-engineered OEM 3D scans without licensing
Violations will result in instant permanent ban and potential legal action.
8. Marketplace Rights
We reserve the right to, without notice:
- Remove product listings
- Suspend or terminate accounts
- Freeze earnings during investigation
- Refuse service to any Vendor
Marketplace decisions are final and non-negotiable.
9. Limitation of Liability
Marketplace is not liable for:
- Loss of revenue, profits, data, or business
- Technical issues, interruptions, or security breaches
- Claims arising from Vendor content or customer disputes
Vendor agrees to indemnify and hold harmless Marketplace and its owners.
10. Termination
Marketplace may terminate this Agreement immediately if:
- Vendor violates any section of this Agreement
- Vendor engages in fraudulent or unethical behavior
- Marketplace determines Vendor activity risks reputation or legal exposure
Upon termination:
- All products will be removed
- Outstanding payouts may be withheld up to 180 days
11. Governing Law & Arbitration
This Agreement is governed by the laws of Wyoming / United States.
All disputes will be resolved exclusively through binding arbitration, not court litigation.
12. Agreement Acceptance
By registering as a Vendor, You confirm that You:
- Have read and understood this Agreement
- Agree to its terms knowingly and voluntarily
- Understand that violation may result in legal consequences
If you do not agree, do not upload or sell any products on the platform.
